Vitality Rx, Inc. (“Vitality Rx,” “we,” or “our”) owns and operates the website located at https://vitalityrx.com (the “Website”). Your access and use of the Website, any part thereof, or anything associated with it, including its content (“Content”), any products or services provided through the Website or by Vitality Rx, and any affiliated software or platforms (collectively, the “Services”), are governed by these Terms and Conditions (“Terms” or “Agreement”).

Please read this Agreement carefully. It outlines the key terms you must understand and accept to use our Services. “You” refers to the person using the Services.

Acceptance of Terms

Your use of the Services is subject to these Terms and applicable laws. If you do not accept them, you may not use the Services. We may update this Agreement at any time. Continued use of the Services after such changes constitutes your acceptance of the revised terms.

No Insurance Accepted

Vitality Rx and its affiliated medical group, Wdowin Naturopathic, Inc., do not accept commercial insurance, Medicare, Medicaid, TRICARE, or any government-sponsored health plans. All services and products are cash-pay. You agree not to submit any reimbursement claims to such programs. If you are a federal health program beneficiary, neither you nor any provider may submit claims for services or products received from Vitality Rx.

Nature of the Relationship

Vitality Rx offers non-prescription health products and connects users to prescription and lab services through affiliated providers and vendors.

Medical services are provided exclusively through Wdowin Naturopathic, Inc.

Pharmacy services are fulfilled through OptioRx (3701 Commercial Ave Suite #14, Northbrook, IL 60062). You may not choose another pharmacy.

Lab services are provided by Clinical Reference Laboratory. Kits are shipped directly to patients.

You may receive treatment plans, lab results, and messages electronically. You are responsible for monitoring and responding to these communications. Vitality Rx is not liable for any missed information or outcomes due to user negligence or noncompliance.

Corporate Structure and Scope of Services

Vitality Rx, Inc. is a management services organization and digital platform that provides administrative, operational, and technology infrastructure to support the delivery of healthcare services. Vitality Rx does not practice medicine, provide clinical care, or interfere with clinical decision-making. All medical care is provided solely by licensed healthcare professionals affiliated with Wdowin Naturopathic, Inc., an independent professional medical corporation. No doctor-patient relationship is established with Vitality Rx. Your relationship for medical care is solely with your provider.

Tracking and Analytics

We may use cookies, pixels, and other tracking technologies to understand how you interact with our Services and to personalize content and marketing. Please refer to our Privacy Policy for details.

Payment Responsibility

You are responsible for all charges associated with your use of the Services. We do not accept or process insurance claims, and you agree not to submit them independently.

Prescriptions

Prescriptions require a consultation with a licensed provider. If appropriate, prescriptions will be filled by OptioRx. You may not choose a different pharmacy. Pricing and availability outside our network are not guaranteed.

Laboratory Testing

Lab testing is ordered by licensed providers and fulfilled by Clinical Reference Laboratory. Kits are mailed to patients. Tests are not available through other labs.

Eligibility and Access

You must be at least 18 years old and located in a state where your provider is licensed during any telehealth consultation. The Services are not available in all states and may not be appropriate for all health conditions.

Telehealth Consent

Use of the Services includes agreement to receive care via telehealth. You will review and accept a telehealth informed consent document during onboarding. Telehealth is not a substitute for in-person care in all cases.

Technology and Access

You are responsible for maintaining your internet connection, devices, and software necessary to use the Services. You agree to provide truthful and accurate information at all times.

Privacy and Protected Information

Vitality Rx is a HIPAA-covered entity. Your health information is protected according to applicable federal and state laws. Some information you provide (like contact information) may not be classified as protected health information (PHI). Details are outlined in our forthcoming Privacy Policy and Notice of Privacy Practices.

User Accounts

You must register for an account to access the Services. You are responsible for keeping your login credentials secure and up to date. Vitality Rx is not liable for unauthorized access caused by your failure to maintain account security.

Intellectual Property

All content and software associated with the Services is the property of Vitality Rx or its licensors and is protected by copyright and trademark laws. You may not copy, modify, or distribute any part of the Services without permission.

User Submissions

You grant Vitality Rx a broad license to use any data, suggestions, or other content you submit through the Services (excluding PHI) to operate and improve the Services.

Prohibited Conduct

You may not use the Services for any unlawful, harmful, or abusive purposes. You also agree not to tamper with or reverse-engineer our systems, use bots or scrapers, or impersonate others. Vitality Rx reserves the right to investigate and act on violations.

Third-Party Services

Some products or services are provided by third-party labs, pharmacies, or providers. Your interactions with them are governed by their terms. Vitality Rx is not liable for their actions.

Payment Terms

Payments are processed through a secure, third-party processor. You agree to provide accurate billing information and authorize charges for services rendered. We do not use Stripe and do not disclose the identity of our payment vendor.

Cancellation and Refunds

You may cancel your subscription at any time by contacting our Patient Care Coordinator via email, phone, or text. However, billing may continue under the following conditions:

• If a shipment of prescription medication (56-day supply), vitamins (30-day supply), lab testing, or consultations has already been provided, we reserve the right to charge for the current billing cycle and one additional cycle.

We do not offer prorated refunds. The value of services is distributed across billing cycles.

Termination

We may terminate or suspend your access at any time. Your obligations under this Agreement survive termination.

Disclaimers

The Services are provided “as-is” without warranties of any kind. We do not guarantee uninterrupted service or error-free operation.

Limitation of Liability

Our total liability for any claim is limited to $1,000. We are not responsible for indirect or consequential damages.

Indemnification

You agree to indemnify and hold harmless Vitality Rx, Wdowin Naturopathic, Inc., and all affiliated personnel from claims arising out of your use of the Services or your violation of these Terms.

Electronic Communications

By using the Services, you consent to receive notices and disclosures electronically.

Governing Law

This Agreement is governed by the laws of the State of California. Any legal claims must be brought in Los Angeles, CA.

Severability

If any part of this Agreement is found invalid, the rest remains in effect.

No Agency

Using the Services does not create an employment, partnership, or agency relationship.

Assignment

You may not transfer your rights under this Agreement. Vitality Rx may assign its rights to an affiliate or successor.

Emergency Situations

The Services are not intended for emergencies. Call 911 if you need immediate medical attention.
